Terms of Service

The Axiom Helm Terms of Service from Mahlum Innovations: accounts, agents and approvals, connected services, fees, acceptable use and limits of liability.

Effective date: October 1, 2026

Version: 48a-terms-v1-2026-10-06

Last updated: October 6, 2026

Changelog: Added the no-PHI restriction and healthcare screening.

These Terms govern your use of Axiom Helm, its public website, application, and related services (the "Service") provided by Mahlum Innovations LLC ("Mahlum," "we," or "us"). By accessing or using the Service, you agree to these Terms. If you accept for a business, you represent that you can bind it. If you do not agree, do not use the Service.

No protected health information

Axiom Helm is a general business operations product. It is not designed for protected health information (PHI) as defined under HIPAA, or for other regulated health records, and is not offered as a HIPAA compliant service.

Mahlum Innovations LLC is not a business associate of any customer with respect to Axiom Helm and does not enter into Business Associate Agreements (BAAs) for it. No BAA is in effect unless a separate written agreement is signed by an authorized officer of Mahlum Innovations LLC.

You agree not to submit, upload, connect, transmit or store PHI through the Service, including through connected mailboxes, calendars, text messaging, file uploads, the receptionist, chat, and third-party integrations. You are responsible for what is in the accounts you connect.

If you are a covered entity or business associate under HIPAA, you must not use the Service for any activity involving PHI.

If you submit PHI in breach of this section, you are responsible for it. Mahlum Innovations LLC may remove the data and suspend the affected features. Notify support promptly. This does not mean the Service detects or automatically removes PHI.

Text messages are standard SMS and must never contain PHI.

1. Accounts and authority

Accounts may be invitation-only. You must provide accurate account details, protect your authentication factors, and notify us if you suspect unauthorized access. You are responsible for activity under your credentials and for assigning workspace roles only to appropriate people. Do not share an account or bypass access controls.

You must have authority to connect an external account, grant permissions, submit information, authorize a filing, accept an action, or direct an operation for the business and people affected by it. Never submit another person's sensitive information unless you have a valid legal basis and authorization.

2. Service and availability

Axiom Helm provides configurable business workspaces, records, agent-assisted drafts and research, connection paths, approvals, and reports. Available features depend on your plan, configuration, permissions, provider support, and whether a connection is actually established. A catalog entry or adapter is not proof that a provider account is linked or an action is available. We may modify, suspend, or discontinue features to maintain safety, security, or the Service.

3. Agents, actions, and approvals

Agents can generate content, recommendations, research, or proposed actions. Outputs can be inaccurate, incomplete, out of date, or inappropriate. You must review them before use. A draft, approval, accepted provider API call, or activity receipt does not prove that an outside recipient or government office completed an action.

Configure tool permissions as available and verify the exact workspace, account, recipient, amount, and scope before authorizing a consequential action. Voice is not a separate approval channel and cannot bypass a required authenticated checkpoint. Human review is still required for business, legal, financial, safety, employment, medical, or other consequential decisions.

The Service is not legal, tax, investment, medical, accounting, or other professional advice and does not establish an attorney-client, fiduciary, or other professional relationship. Consult a qualified professional for advice or filings that require one.

4. Connected services and filings

Connecting an account permits only the access described in the connection flow and your use of its features. You are responsible for the external provider's terms and for actions taken in your provider account. You may need to revoke permission directly with that provider. Disconnecting in Axiom Helm may remove our local connection or stop future access, but it does not necessarily revoke an outside authorization or erase data already collected by either party.

Filing, payroll, payment, tax, advertising, publishing, social, or other external actions may require separate authority, setup, legal review, provider acceptance, payment, or human approval. Government submission is not government approval. We do not guarantee a filing deadline, provider delivery, campaign result, rank, revenue, or external system availability.

5. Customer content and permissions

You retain the rights you hold in content you submit. You grant Mahlum a limited, non-exclusive right to host, process, reproduce, transmit, and display that content only as needed to provide, secure, and support the Service and to carry out your instructions. This permission includes sending a necessary portion of content to a selected model, research, storage, communication, or connected-app provider for the requested feature, subject to applicable provider terms.

You represent that you have rights and authority to submit the content, connect the associated accounts, and issue the instructions, and that your use does not violate law or a third party's rights. Do not submit material you are not authorized to use or sensitive personal data outside an appropriately configured, reviewed workflow.

6. AI provider processing

The Service may route task content through different configured model providers, including direct Anthropic or OpenAI paths, Replit routes, and OpenRouter routes to Claude, Grok, or Llama models. Grounded Google Gemini is a search/research capability, not the ordinary ATLAS agent model. Routing and terms depend on the selected endpoint and plan.

Mahlum does not train its own general-purpose model on your workspace content. We do not promise that every third-party model endpoint prohibits provider training, offers zero-data-retention, or prevents human review. A provider's consumer/free, API, business, or paid plan can have different terms. We have not independently verified the billing plan or processing terms for every configured endpoint. Review provider terms and avoid highly sensitive content unless your organization has verified the route.

7. Acceptable use

You may not use the Service to violate law or another person's rights; send unlawful or deceptive communications; build or distribute malware; gain unauthorized access; mislead a provider, filing office, person, or model about authority; reverse engineer or interfere with security controls except where law protects that activity; scrape or exfiltrate another tenant's information; or use the Service in a manner that risks harm without required professional and human review.

8. Fees and subscriptions

Applicable plan fees, renewal, taxes, and payment terms are disclosed at purchase or in an order. Stripe processes card payments. You authorize the applicable charges through the billing provider and must keep billing details current. Cancellation affects future subscription periods as explained at the time of cancellation; it does not itself request deletion of data, cancel a separately authorized provider account, or remove lawful accounting records. Custom enterprise terms apply only if separately executed.

9. Confidentiality and privacy

Use of personal information is governed by the Privacy Policy. If your organization requires processor terms, review the Data Processing Addendum with counsel and your workspace administrator. The public DPA draft is not an executed contract, and a document viewer or browser click is not a DPA acceptance receipt.

10. Intellectual property and feedback

Mahlum retains the Service and its software, interfaces, and materials. You may use the Service only as permitted by these Terms and your plan. You retain your rights in submitted content. If you provide suggestions, you allow Mahlum to use them without restriction or compensation, provided we do not disclose your confidential content in doing so.

11. Third-party services

Third-party services are controlled by their providers and can change, reject requests, or become unavailable. Their terms and privacy notices apply to their services. Mahlum is not responsible for an external provider's acts or omissions beyond responsibilities that cannot be disclaimed by law. Where a subprocessors contract applies, see the Subprocessors Register.

12. Suspension and termination

You may stop using the Service and use the privacy request process to ask about account data. We may suspend access to protect a user, provider, the Service, or the public, comply with law, address nonpayment, or respond to a material violation. Termination does not automatically transfer workspace ownership, delete other users' content, cancel a separate provider subscription, or remove legally required records.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." MAHLUM DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED SERVICE, MODEL ACCURACY, PROVIDER AVAILABILITY, OR A PARTICULAR BUSINESS OUTCOME. NON-WAIVABLE RIGHTS ARE NOT AFFECTED.

14. Limits of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAHLUM'S AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO MAHLUM FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LAW PROHIBITS THEM OR TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

15. Indemnification

To the extent permitted by law, you are responsible for claims arising from your unlawful use, content you submit without authorization, or an instruction you direct in violation of these Terms. Nothing in this section requires a consumer to indemnify a party where applicable law prohibits that requirement.

16. Changes, law, and contact

We may update these Terms by identifying the revised version and date and providing any notice required by law or contract. Continued use after a change takes effect constitutes acceptance only where permitted by law. If a provision is unenforceable, the remainder will continue to apply. These Terms are governed by the law of the State of Wyoming, without applying conflict-of-law rules, subject to non-waivable consumer law and a separate signed enterprise agreement. Courts with jurisdiction in Wyoming will hear disputes unless applicable law requires another venue.
